Terms of Service
These terms govern your use of the WameedPOS platform. Please read them carefully before subscribing to our services.

1. Acceptance of Terms
By accessing or using the WameedPOS platform, applications, hardware, or any associated services (collectively, the "Services") provided by Thawani Technology Company ("WameedPOS," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a business entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, you must not access or use the Services. These Terms constitute a legally binding agreement between you and WameedPOS, governed by the laws of the Kingdom of Saudi Arabia.
2. Description of Services
WameedPOS provides a cloud-based, offline-capable point-of-sale platform that includes:
- Point-of-sale transaction processing with multi-payment support (Mada, Visa, Mastercard, Apple Pay, STC Pay, cash)
- Real-time inventory management with multi-branch tracking and automated stock alerts
- ZATCA Phase 2 compliant e-invoicing with QR code generation and XML submission
- Employee management with role-based access controls and performance tracking
- Business analytics, sales reporting, and financial dashboards
- Integration with delivery platforms, accounting systems, and payment processors
- Hardware support for receipt printers, barcode scanners, cash drawers, and payment terminals
- Customer relationship management and loyalty program tools
3. Account Registration & Security
To use the Services, you must create an account and provide accurate, complete information including your Commercial Registration (CR) number and valid contact details. You agree to:
- Maintain the accuracy and completeness of your account information at all times.
- Keep your login credentials, PINs, and API keys confidential and secure.
- Immediately notify us of any unauthorized access to your account.
- Accept responsibility for all activities that occur under your account.
- Not share accounts between separate legal entities.
We reserve the right to suspend or terminate accounts that provide false information or fail to meet KYB (Know Your Business) verification requirements.
4. Subscription Plans & Billing
4.1 Subscription Plans
WameedPOS offers multiple subscription tiers (Starter, Growth, Enterprise) with different feature sets, transaction limits, and support levels. Plan details and pricing are published on our Pricing page and may be updated with 30 days' advance notice. Pricing
4.2 Billing & Payment
- Subscriptions are billed monthly or annually based on your chosen billing cycle.
- All prices are listed in Saudi Riyals (SAR) and are exclusive of VAT unless otherwise stated.
- Payment is due on the subscription renewal date. Failed payments result in a 7-day grace period before service suspension.
- We accept payment via Mada, Visa, Mastercard, and bank transfer (for Enterprise plans).
4.3 Refund Policy
Annual plans include a 14-day satisfaction guarantee. If you are not satisfied within the first 14 days, you may request a full refund. Monthly subscriptions may be cancelled at any time but are not eligible for partial-month refunds. Hardware purchases are subject to a separate return policy.
5. Acceptable Use Policy
You agree to use the Services only for lawful business purposes. You must not:
- Use the Services for any activity that violates Saudi Arabian law or applicable international regulations.
- Process transactions for goods or services prohibited under Saudi law.
- Attempt to reverse-engineer, decompile, or disassemble any part of the platform.
- Interfere with or disrupt the Services, servers, or networks connected to the Services.
- Use automated scripts, bots, or data scraping tools on the platform without written authorization.
- Transmit viruses, malware, or any code designed to harm the system.
- Resell, sublicense, or provide access to the Services to third parties without our written consent.
- Manipulate transaction records, inventory data, or financial reports for fraudulent purposes.
- Use the platform to facilitate tax evasion or submit false information to ZATCA.
6. Intellectual Property
6.1 Our Intellectual Property
The WameedPOS platform, including its software, design, logos, trademarks, documentation, and proprietary algorithms, is the exclusive property of Thawani Technology Company. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Services during your active subscription period.
6.2 Your Data
You retain full ownership of all business data, transaction records, product catalogs, and customer information you input into WameedPOS. We claim no intellectual property rights over your data. Upon account termination, you may export your data in standard formats (CSV, JSON, PDF) for up to 90 days.
7. Data Processing & Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge that you have read and understood our Privacy Policy. Where you input customer personal data into the platform, you act as the data controller and we act as the data processor, as defined by the Saudi Personal Data Protection Law (PDPL). Privacy Policy
8. Service Availability & SLA
We target 99.9% uptime for our cloud services. Our offline-first architecture ensures that critical POS functions (sales processing, receipt printing, and local inventory tracking) continue to operate even without internet connectivity.
- Scheduled Maintenance: Planned downtime windows are communicated at least 48 hours in advance and typically occur during off-peak hours (2:00 AM – 5:00 AM AST).
- Emergency Maintenance: Critical security patches or urgent fixes may be applied with shorter notice.
- SLA Credits: Enterprise plan subscribers are eligible for service credits if uptime falls below the guaranteed threshold, as detailed in their Enterprise Agreement.
9. Third-Party Integrations
WameedPOS integrates with third-party services including payment processors, delivery platforms, accounting software, and government systems (ZATCA). These integrations are provided "as-is" and depend on the availability and terms of the respective third-party providers. We are not responsible for downtime, errors, or policy changes of third-party services. Your use of third-party integrations may be subject to additional terms and conditions imposed by those providers.
10. Limitation of Liability
To the maximum extent permitted by Saudi law:
- WameedPOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data.
- Our total aggregate liability for any claims arising from or related to the Services shall not exceed the total fees paid by you in the 12 months preceding the claim.
- We are not liable for losses caused by force majeure events, including natural disasters, government actions, pandemic restrictions, or infrastructure failures beyond our control.
- We are not responsible for financial penalties or tax liabilities arising from incorrect data you enter into the system.
11. Indemnification
You agree to indemnify, defend, and hold harmless WameedPOS, its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any data you input into the platform that is inaccurate, unlawful, or infringes on others' rights.
12. Termination
12.1 Termination by You
You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of your current billing period. You remain responsible for any fees incurred prior to termination.
12.2 Termination by Us
We may suspend or terminate your access if you: (a) violate these Terms, (b) fail to pay subscription fees after the grace period, (c) engage in fraudulent activity, or (d) use the Services in a manner that threatens system security or violates applicable law. We will provide reasonable notice except where immediate action is necessary to protect the platform or other users.
12.3 Effect of Termination
Upon termination, your access to the Services will cease. You will have 90 days to export your data. After this period, your data will be securely deleted, except for records we are legally required to retain (e.g., ZATCA e-invoicing records for 6 years).
13. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from or related to these Terms shall be resolved as follows:
- Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days.
- Mediation: If negotiation fails, the dispute shall be submitted to mediation administered by the Saudi Center for Commercial Arbitration (SCCA).
- Arbitration: If mediation is unsuccessful, the dispute shall be finally resolved by binding arbitration under SCCA rules, conducted in Riyadh in the Arabic language.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email and in-app notification at least 30 days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms. If you disagree with any changes, you may terminate your subscription before the changes take effect.
15. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable Enterprise Agreement, constitute the entire agreement between you and WameedPOS.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
- Waiver: Our failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
- Force Majeure: Neither party is liable for failure to perform obligations due to causes beyond reasonable control.
- Language: These Terms are provided in English and Arabic. In case of conflict, the Arabic version shall prevail as governed by Saudi law.
